These General Terms and Conditions apply to all services provided by Transformation Nomads, a Human Sustainability Advisory registered in the Netherlands. By engaging our services, requesting a proposal, signing an agreement, or making a payment, you agree to be bound by these terms. Please read them carefully before proceeding.
I - Who we are
Transformation Nomads operates from the Netherlands. We work with organizations and leaders worldwide through advisory engagements, in-company workshops and facilitation, and speaking and keynote services. Any reference to "we," "us," or "our" in these terms refers to Transformation Nomads. Any reference to "you," "your," or "the client" refers to the individual or organization engaging our services.
II - Scope of services
The specific nature, scope, duration, and deliverables of each engagement are defined in a proposal, offer letter, or service agreement provided to you before the start of work. These General Terms and Conditions apply to all such engagements and form part of the agreement between us. In the event of any conflict between a specific service agreement and these terms, the service agreement takes precedence.
III - Proposals and acceptance
Any proposal or offer we provide is valid for 30 days from the date of issue, unless a different validity period is stated in the proposal itself. A proposal becomes a binding agreement when you confirm your acceptance in writing — including by email — or when you make a payment in connection with the proposed services. We reserve the right to withdraw or amend a proposal before acceptance.
IV - Fees and payment
Our fees are set out in the relevant proposal or service agreement. Unless stated otherwise, all amounts are exclusive of VAT, which will be added where applicable under Dutch law. Payment may be made by bank transfer on the basis of an invoice, or by online payment via the methods available on our website.
For advisory and facilitation engagements, we typically invoice in installments as agreed in the service agreement. For workshops, facilitation sessions, and speaking engagements, a deposit of at least 50 percent of the agreed fee is due upon confirmation, with the remainder due no later than 14 days before the date of delivery, unless agreed otherwise in writing. For online programs and courses, full payment is required at the time of enrollment unless a payment plan has been explicitly agreed.
Invoices issued by bank transfer are payable within 14 days of the invoice date unless stated otherwise. If payment is not received by the due date, we reserve the right to suspend delivery of services and to charge statutory commercial interest on the outstanding amount in accordance with Dutch law.
V - Cancellation and rescheduling
If you need to cancel or reschedule a confirmed engagement, please notify us in writing as soon as possible. For cancellations made more than 30 days before the scheduled start date, any deposit paid will be refunded in full minus any costs already incurred in preparing for the engagement. For cancellations made between 14 and 30 days before the start date, 50 percent of the total agreed fee will be due. For cancellations made less than 14 days before the start date, the full agreed fee will be due.
For speaking and keynote engagements specifically, given the planning and preparation involved, the full fee is due for any cancellation made less than 30 days before the event date.
Transformation Nomads reserves the right to cancel or reschedule an engagement due to unforeseen circumstances, illness, or events beyond our reasonable control. In such cases, we will notify you as soon as possible and offer an alternative date or a full refund of any amounts paid.
VI - Delivery of services
We will deliver our services with reasonable care, skill, and professionalism. All timelines and dates provided in proposals are indicative unless explicitly confirmed as fixed. Timely delivery depends in part on your cooperation, including providing access to relevant information, personnel, and facilities where applicable. Where a delay in delivery is caused by a failure to provide what is reasonably required from your side, we cannot be held responsible for the resulting impact on timelines or outcomes.
VII - Online and hybrid programs
For online or hybrid programs, access to digital content and platforms is provided for the duration of the program as specified in your service agreement. We cannot guarantee uninterrupted access to third-party platforms and are not liable for outages or technical issues outside our control. Recording of our online sessions is not permitted without our prior written consent.
VIII - Speaking and keynote engagements
For speaking engagements, you are responsible for providing accurate information about the audience, event format, and any technical requirements in advance. Travel, accommodation, and other out-of-pocket expenses incurred by our speakers will be reimbursed by you at cost, unless a fixed all-inclusive fee has been explicitly agreed in writing.
IX - Intellectual property
All frameworks, methodologies, materials, presentations, and content delivered by Transformation Nomads remain our exclusive intellectual property, as set out in our Intellectual Property Policy. Clients receive a limited, non-exclusive right to use the materials we deliver for their own internal organizational purposes only. No materials may be reproduced, shared externally, or used in commercial offerings without our prior written permission.
X - Confidentiality
Both parties agree to treat as confidential any sensitive business information shared during the course of an engagement. We will not disclose information about your organization to third parties without your consent, except where required by law. We ask the same in return regarding our proprietary methods, pricing, and internal processes.
XI - Liability
Transformation Nomads will always strive to deliver meaningful, high-quality outcomes. However, we cannot guarantee specific results, as outcomes depend on many factors including the active participation and follow-through of your organization and its people. Our total liability for any claim arising from a service engagement is limited to the total fees paid by you for the specific engagement in question. We are not liable for any indirect, consequential, or reputational loss. Nothing in these terms limits liability for fraud, gross negligence, or personal injury caused by our own actions.
XII- Force majeure
Neither party will be held liable for failure to perform its obligations if that failure is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government restrictions, or major disruptions to travel or communications infrastructure. In such cases, both parties will make reasonable efforts to find an alternative arrangement.
XIII - Complaints
If you are not satisfied with any aspect of our services, we ask that you raise your concern with us in writing as soon as possible. We take all feedback seriously and will respond within 10 business days with a proposed resolution. We prefer to resolve any disagreements directly and constructively before either party considers further action.
XIV - Governing law and jurisdiction
These terms and all agreements made under them are governed by the laws of the Netherlands. Any disputes that cannot be resolved amicably will be submitted to the competent court in the Netherlands.
XV - Amendments
We may update these General Terms and Conditions from time to time. The version published on our website at the time of your engagement will apply. We recommend reviewing these terms before each new engagement.
